Terms of Service

1. Agreement

These terms are an agreement between you, or the company you represent ("you"), and Tag Concierge sp. z o.o., ul. Józefa Sarego 18 lok. 1, 31-047 Kraków, Poland ("Pingado", "we"). By creating an account or using Pingado you accept them. If you accept on behalf of a company, you confirm you can bind it.

2. The service

Pingado records how visitors reach your sites, receives your conversions from the payment providers you connect, sends those conversions to the ad platforms you connect, and reports your ad spend against the revenue it attributes. We may change or improve features. We will not remove a core feature you pay for without notice.

3. Your account

• Keep your sign-in details and your team's access secure, and tell us about any unauthorised use.
• You are responsible for what happens in your account, including actions of team members you invite.
• You must be at least 18 and use Pingado for your business, not as a consumer.

4. Your responsibilities

• Notice and consent. Your site's privacy notice must describe Pingado and the ad platforms you connect, and you must obtain any consent the law requires before Pingado runs, for example through a cookie banner that sets Google Consent Mode.
• Lawful data. Do not send Pingado special categories of personal data, such as health data, or data about children, and do not use it on sites directed at children.
• Ad platform terms. You are responsible for complying with the terms of the ad platforms and payment providers you connect, including their rules on sending customer data.
• Accurate setup. Conversions and attribution depend on how you install the snippet and configure your connections.

5. Acceptable use

Do not use Pingado to break the law, to track people across sites you do not control, to send fraudulent conversions to ad platforms, to probe or overload our systems, or to resell the service without our written agreement.

6. Plans, fees and billing

• Every plan includes every feature. Your plan follows the monthly ad spend in your connected ad accounts: free up to $500, $19 a month up to $2,500, $49 a month up to $5,000 and $99 a month up to $10,000. Above $10,000 we agree a price with you.
• If your spend moves into a higher tier, the new price applies from your next billing period. We tell you before charging a higher price.
• Fees are billed monthly in advance through Stripe Managed Payments. Stripe, through its Link service, is the merchant of record for these payments: it charges you, calculates and collects any sales tax, VAT or GST, and sends your receipts and invoices. Prices we show exclude those taxes, which are added at checkout where they apply. The payment terms shown at checkout also apply.
• We may change prices with at least 30 days' notice. The change applies from your next billing period after the notice.
• Fees already paid are not refunded, except where the law requires it or where we end the service without cause. Stripe may also refund a payment within 60 days of purchase under its own terms.
• For questions about a charge, receipt or invoice you can contact Link support or us.

7. Third-party platforms

Pingado works with ad platforms and payment providers we do not control. Their availability, rules, APIs, reporting and bidding decisions are theirs. We keep our integrations working as they change, but we are not responsible for how those platforms process your data, count or reject conversions, or spend your budget.

8. Data processing

For personal data of visitors to your sites, you are the controller and we are your processor. We will:

• process that data on your documented instructions, which are these terms and your settings, and not for our own purposes;
• keep it confidential, and bind everyone who processes it to confidentiality;
• protect it with appropriate technical and organisational measures;
• use the sub-processors listed in our Privacy Policy, tell you before adding new ones, and let you object;
• help you respond to requests from individuals and with security and impact assessments;
• tell you without undue delay after becoming aware of a personal data breach;
• delete or return the data when you close your account, as described in section 11;
• make available the information needed to show we meet these obligations.

Where data leaves the European Economic Area or the United Kingdom, the European Commission's standard contractual clauses apply. If you need a separately signed data processing agreement, contact us.

9. Intellectual property

We own Pingado and its software. You own your data. You give us the right to use your data to provide and support the service for you. We may use aggregated data that does not identify you or any person to improve Pingado.

10. Warranties and liability

We provide Pingado with reasonable skill and care, but "as is". We do not promise that it will be uninterrupted, that every conversion will be attributed, or that ad platforms will accept every conversion.

Neither party is liable for indirect or consequential losses, or for lost profits, revenue or ad spend. Each party's total liability under these terms is limited to the fees you paid us in the 12 months before the claim. These limits do not apply to liability that cannot be limited by law, or to your payment obligations.

11. Ending the agreement

• You can close your account at any time in settings. Paid plans end at the end of the current billing period.
• We can suspend or end your account if you seriously or repeatedly breach these terms, or fail to pay, after telling you and giving you a chance to fix it where that is reasonable.
• After your account closes you can export your data for 7 days. We then delete it, at the latest 30 days after your account closed, except what we must keep by law.

12. Changes to these terms

We may update these terms. For changes that affect you materially we will email you at least 30 days before they apply. If you continue to use Pingado after that, the new terms apply.

13. Governing law

These terms are governed by the laws of Poland, and the courts competent for our registered office in Kraków, Poland, have jurisdiction, unless mandatory law says otherwise.
